NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council has received notification of a concentration operation consisting of CDG Invest acquiring 30% of the share capital and associated voting rights of Strapack Morocco.

This equity stake will be acquired through CDG Invest subscribing to shares of Strapack Morocco as part of a capital increase totaling 12,500,000 dirhams.

Strapack Morocco is active in the market for manufacturing and distributing plastic strapping bands.

At the beginning of its work, the Permanent Commission approved the minutes of its meeting held on May 12, 2022. The Permanent Commission then made decisions to authorize the following four economic concentration operations: The acquisition of exclusive control of PartnerRe Ltd by Covéa Coopérations SA through the acquisition of its ordinary type ‘A’ shares representing 99% of its voting rights; The acquisition, by Inspired Education Holding, of indirect joint control of Institution Khalil Jabrane through the acquisition of 83% of the capital and voting rights thereof; The acquisition by ‘Hapag-Lloyd Aktiengesellschaft’ of assets and entities comprising the container transport and management business of DAL. ‘Deutsche Afrika Linien GmbH & Co.KG’; The exclusive acquisition by Diaverum Holding France SAS of 100% of the share capital and voting rights of the companies ‘Centre de Néphrologie Hémodialyse de Meknès’ and ‘Centre d’Hémodialyse El Basma’.
