Press release from the Competition Council regarding the economic concentration project concerning the exclusive takeover by the company “Beretta Holding SA” of the company “Humbert CTTS SAS” through the acquisition of the remaining 34% of its share capital and related voting rights.

In accordance with Article 13 of Law No. 104-12 on freedom of prices and competition and Article 10 of Decree No. 2-14-652 issued for its implementation, as amended and supplemented, the Competition Council makes available to the public the “summary of the operation” below, containing the information provided by the parties.

NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council has received notification of an economic concentration operation concerning the exclusive takeover by the company “Beretta Holding SA” of the company “Humbert CTTS SAS” through the acquisition of 34% of its share capital and voting rights. Upon completion of the acquisition, the acquirer will hold the entire share capital and voting rights of the target.

“Beretta Holding SA” is a Luxembourg public limited company, with its registered office at 9 rue de Ste Zithe, L 2763, in Luxembourg, registered with the Luxembourg Trade and Companies Register under number B 224055. The company is owned by the Luxembourg company “Upifra SA” to the extent of 97.75% of the share capital, with the remaining capital held by five minority shareholders. The company “Beretta Holding SA” holds stakes in over 50 entities worldwide, active in the field of light firearms, ammunition, rifles, clothing, and accessories dedicated to hunting, sports, military defense, and personal defense.

“Humbert CTTS SAS” is a French simplified joint stock company, with its registered office at Vauche, 42340, 45 avenue Paccard, Saint-Etienne, in France, registered with the Saint-Etienne Trade and Companies Register under number 734 500 531. The company is active in the distribution of several brands of hunting and sports firearms, handguns, optical instruments, ammunition, and accessories and equipment, in the French market. The company is also active, to a lesser extent, in the military sector and in markets related to law enforcement, supplying equipment to the armed forces, defense professionals, ammunition, optical rifles, and accessories. The company “Humbert CTTS SAS” is owned to the extent of 66% of the share capital by the company “Beretta Holding SA” and to the extent of 34% of the share capital by the French holding company “Sofisport SA”.
