NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES
The Competition Council received notification of an economic concentration operation concerning the exclusive takeover by the company “Robert Bosch GmbH” of activities in the field of light residential and commercial heating, ventilation, and air conditioning systems of the company “Johnson Controls International plc”, including “Johnson Controls-Hitachi Air Conditioning Holding” which is a joint venture controlled by “Johnson Controls International plc” and “Hitachi Ltd”, active in the same field.
“Robert Bosch GmbH” is a German limited liability company based in Gerlingen. Its activities are organized into four industrial areas: automotive equipment; power tools and household appliances; consumer goods packaging technology; industrial technology; energy and building technology. Within this last activity, its subsidiary “Bosch Home Comfort” offers a range of solutions for heating, air conditioning, and home comfort.
“Johnson Controls International plc” is an Irish multi-industrial limited liability company based in Cork, Ireland, mainly active in engineering, manufacturing, and commissioning of construction products and systems, including light residential and commercial heating, ventilation, and air conditioning systems, industrial refrigeration systems, controls, security, fire detection, and extinguishing solutions.
“Johnson Controls-Hitachi Air Conditioning Holding” is a Japanese joint venture located in Tokyo, controlled by “Johnson Controls International plc” (60%) and “Hitachi Ltd” (40%). It is engaged in the manufacture of household appliances and specializes in air conditioning and refrigeration technologies. “Hitachi Ltd” is a Japanese joint-stock company headquartered in Tokyo and listed on the Tokyo and Nagoya stock exchanges. Hitachi is an integrated electronics manufacturing group, active in digital systems and services (digital solutions and IT products), green energy and mobility (energy solutions, railway systems), connected industries (construction systems, lifestyle and ecosystems, measurement and analysis systems, industrial and logistics solutions, water and environmental solutions, industrial equipment), and automotive systems-related activities.
