NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES
The Competition Council has received a notification of an economic concentration operation concerning the exclusive takeover by the company “Global Martilu SLU” indirectly owned 100% by “MIC Capital Management UK LLP”, of the company “Babel Tenedora de Participaciones SA” and its subsidiaries, through the acquisition of 75.39% of its share capital and related voting rights.
“Global Martilu SLU” is a limited liability company established under Spanish law, registered with Spanish tax identification number B 70754080 in the Madrid Commercial Register. It is active in asset management.
“MIC Capital Management UK LLP” is an investment company based in London, specializing in asset management, with a primary focus on private equity, venture capital, and investments in publicly traded equities.
“Babel Tenedora de Participaciones SA” is a public limited company established under Spanish law, registered with Spanish tax identification number A87444865 in the Madrid Commercial Register, whose main activity is holding stakes in companies and managing investments in various sectors, including technology, real estate, and business services.
The “Babel” Group is an international specialist in digital transformation, focusing on providing information technology consulting services, digital acceleration, and business transformation for clients in various sectors.
