NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES
The Competition Council has received notification of an economic concentration operation concerning the acquisition by the company « Dislog Group » of the exclusive control of the company « Build a Better World S.L. » through the acquisition of 100% of the share capital and voting rights related thereto.
« Dislog Group » is a Moroccan joint stock company, with its registered office at Zone Industrielle Ouled Saleh Bouskoura, Casablanca, registered with the Casablanca Trade Register under number 403199. The company is directly controlled by « H&S Invest Holding S.A » which is a Moroccan joint stock company with its registered office at 203 Bd Zerktouni 3rd Floor – Casablanca, registered with the Casablanca Trade Register under number 140 531. « Dislog Group » holds interests in subsidiaries mainly operating in the distribution of consumer products, industry, pharmacy, logistics, and e-commerce sectors.
« Build a Better World S.L. » is a limited liability company established in accordance with Spanish law, with its registered office at CL Avenida Diagonal number 423, P.PP PTA.1, Barcelona, Spain, and registered with the Barcelona Trade Register under number B581354. The company is mainly specialized in distribution, marketing, and brand management in the consumer goods industry, with commercial presence in 11 countries across Europe.
