The Competition Council received a notification of an economic concentration project concerning the exclusive takeover of the company “Aluflexpack AG” by the company “Constantia Flexibles GmbH”, an indirect subsidiary of the company “One Rock Capital Partners”.

The activities of the companies involved are as follows:

• “One Rock Capital Partners” is a private equity firm headquartered in New York (United States of America) focusing on control equity investments in middle-market companies. “One Rock Capital” manages funds that invest in portfolio companies operating in various sectors, including chemicals and processes, specialty manufacturing and healthcare, food manufacturing and distribution, as well as commercial and environmental services;
• The company “Constantia Flexibles GmbH” is a global producer of flexible packaging products headquartered in Austria. Its products are mainly based on aluminum (foils), film, and paper, and the product portfolio includes everyday use products such as food, dairy, pet food, flexible packaging solutions for household and personal care products, pharmaceutical and medical products, as well as beverages;
• The company “Aluflexpack AG” is a Swiss public limited company listed on the stock exchange with its headquarters in Switzerland. The company is a producer and supplier of flexible packaging solutions used for various applications.
