Press release regarding the meeting of the Permanent Commission of the Competition Council

In accordance with the provisions of Article 14 of Law 20-13 on the Competition Council as amended and supplemented, the Permanent Commission of the Council held a meeting on Monday, March 27, 2023 at 10:30 am, under the chairmanship of Mr. Ahmed Rahhou, President of the Competition Council, to examine the files submitted to it by the Council’s investigation services.

At the beginning of its work, the Permanent Commission approved the minutes of its meeting held on March 23, 2023.
The Permanent Commission then made decisions to authorize the following six economic concentration operations:

• • The exclusive takeover of the company Edenred Maroc SAS by the project investment research company (SOPI) through the acquisition of 83.67% of its share capital and voting rights.
  • The direct joint control acquisition of the company Hsabati SARL by CDG Invest through the acquisition of 10.07% of the social shares and voting rights of the target.
  • The direct joint control acquisition of the company Kifal Services by CDG Invest through the acquisition of 10% of the social shares and voting rights of the target.
  • The indirect joint control acquisition of the company “Oncorad SARL” by the company “CDG Invest SA”, through the acquisition of 19.64% of its share capital and associated voting rights through the intermediary of the company “Capmezzanine II SA”.
  • The indirect joint control acquisition of the company “LMPS Consulting SA” by the company “CDG Invest SA”, through the acquisition of 30.95% of its share capital and associated voting rights through the intermediary of the company “Capmezzanine II SA”.
