NON-CONFIDENTIAL SUMMARY OF THE TRANSACTION PROVIDED BY THE PARTIES

The Competition Council received notification of an economic concentration project concerning the creation of a joint venture under the joint control of companies “Atlas Holdings, LLC” and “KPS Capital Partners, LP”. The transaction will be implemented through a private transaction agreement under which companies “Atlas Holdings, LLC” and “KPS Capital Partners, LP” will contribute their respective portfolio activities to the joint venture.

“Atlas Holdings, LLC” is an American private investment company, incorporated under Delaware law under number 2921947 and headquartered in the United States of America at 100 Northfield St, Greenwich, Connecticut, United States.
“Atlas Holdings, LLC” and its affiliated funds own and operate a portfolio of companies active in various industrial and manufacturing sectors, including automotive components, construction materials, equipment goods, construction services, food product manufacturing and distribution, metal processing, packaging, paper, energy production, printing, paper pulp, supply chain management, and wood products.

“KPS Capital Partners, LP” is a private investment company incorporated in the United States, registered with the Delaware State Register under number 157678 and headquartered in the United States of America at One Vanderbilt Avenue, 52nd Floor, New York, NY 10017. Through its affiliated management entities, “KPS Capital Partners, LP” manages the KPS Special Situations Funds, representing approximately USD 18.6 billion in assets (as of March 31, 2026). The partners of “KPS Capital Partners, LP” seek to generate significant value by acquiring controlling interests in industrial and manufacturing companies operating in a wide range of sectors, including basic materials, branded consumer goods, health and luxury products, automotive parts, equipment goods, and the manufacturing industry in general.

  • The joint venture will bring together the following activities:

The Edison Group, which is the American platform of “Atlas Holdings, LLC” specializing in batteries and energy storage including “Edison Group Companies LLC”, incorporated under the laws of the State of Delaware, registered with the state’s business registry under number 3344909 and headquartered in the United States of America at 1209 Orange St, Wilmington, DE 19801, United States.

“C&D Technologies Inc.” a private company incorporated under the laws of the State of Delaware registered with the state’s business registry under number 2075987 and headquartered in the United States of America at 200 Precision Road, Horsham, Pennsylvania 19044, United States. This company is currently indirectly controlled by “KPS Capital Partners, LP” and is active in the manufacturing and supply of batteries, energy storage solutions, and services for industrial and commercial applications, particularly in the data centers, telecommunications, infrastructure, utilities, uninterruptible power supplies (UPS), cables, broadband, and renewable energy sectors. The activity of “C&D Technologies Inc.” also includes the business operated under the brand (Trojan Battery), which provides deep-cycle batteries for motive power applications and other energy storage uses.
