NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES
The Competition Council has received notification of a project for an economic concentration operation concerning the indirect exclusive takeover of the company “Payoneer Global Inc.” by the company “Neon Maple Parent Inc.”, through its wholly-owned subsidiary “Panda Acquisition Sub Inc.”.
“Panda Acquisition Sub Inc.” is a newly formed company under the laws of the State of Delaware, United States, registered under number 10642309, with its registered office at 251 Little Falls Drive, Wilmington, New Castle, Delaware 19808, United States. Panda Acquisition Sub Inc. is a special purpose acquisition vehicle with no operational activities.
“Neon Maple Parent Inc.” is a company incorporated under the laws of Ontario, Canada, with registration number 1000842348, and its registered office at 199 Bay Street, Toronto, ON M5L 1A9, Canada. “Neon Maple Parent Inc.” is a holding company. It is notably the parent company of “Nuvei Corporation”, a payment processing company headquartered in Montreal, Quebec, Canada. “Nuvei Corporation” is a global technology company specializing in payments, providing the infrastructure needed for businesses to accept and process payments worldwide. Its platform enables businesses to offer next-generation payment solutions, provide a wide range of payout options, and manage risks and fraud.
“Payoneer Global Inc.” is a US company incorporated under the laws of the State of Delaware (United States) under registration number 1098672, with its registered office at 195 Broadway, 27th Floor, New York, NY 10007, United States. “Payoneer Global Inc.” is a financial technology company listed on the NASDAQ Global Market. It is active in international payments and cross-border payment solutions, enabling companies, online merchants, freelancers, and marketplaces to conduct transactions on a global scale.
Additionally, “Payoneer Global Inc.” provides workforce management services through its Workforce Management (WFM) platform, which simplifies provider onboarding, payroll management, billing, and subcontractor payment processes without the need for companies to establish a local entity.
