Press release from the Competition Council regarding an economic concentration concerning the acquisition by “Dari Couspate SA” of tangible assets related to the industrial processing activity of hard wheat into semolina from the company “Les Grandes Semouleries du Maroc SA”

NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council received notification of an economic concentration operation concerning the acquisition by the company “Dari Couspate SA”, through a wholly-owned subsidiary to be specially established for this purpose, of tangible assets related to the industrial processing activity of hard wheat into semolina (semolina mill) of the company “Les Grandes Semouleries du Maroc SA”.

“Dari Couspate SA” is a Moroccan joint-stock company, with its registered office located in the Industrial Area, Ezzahra, El Oulja, 11000, Salé, registered with the Salé Trade Register under number 3273. It specializes in the manufacture and commercialization of couscous and pasta.

“Les Grandes Semouleries du Maroc SA” is a Moroccan joint-stock company, with its registered office located on Chefchaouen Street, Cite Oukacha, Ain Sebaa, Casablanca, Morocco, registered with the Casablanca Trade Register under number 38757. Its activity involves the processing of hard wheat into semolina. It is an entity of the Forafric Maroc Group, a player for several years in the cereal sector and present throughout the value chain from upstream through the import and trading of raw materials to the distribution of finished products such as flours, semolinas, pastas, and couscous.
