Press release from the Competition Council regarding the economic concentration project concerning the joint takeover by the companies “Sonaca SA” and “Govera Inversiones SL” of the company “Aciturri Aeronautica SLU”

In accordance with Article 13 of Law No. 104-12 on freedom of prices and competition and Article 10 of Decree No. 2-14-652 adopted for its implementation, as amended and supplemented, the Competition Council makes available to the public the “summary of the operation” below, containing the information provided by the parties.

NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council received notification of an economic concentration operation concerning the joint takeover by the company “Sonaca SA” of the company “Aciturri Aeronautica SLU”, through the acquisition of 50.99% of its share capital and voting rights alongside its historical shareholder “Govera Inversiones SL”.

“Sonaca SA” is a Belgian public limited company with its registered office in Gosselies, Belgium, and registered with the Central Business Register under number 0418.217.577 (RLP Hainaut, Charleroi district). Sonaca is a global level 1 manufacturer and supplier engaged in the development, manufacture, and assembly of wing aerostructures.

“Govera Inversiones SL” is a Spanish limited liability company with its registered office in Seville, Spain, and registered with the Seville Commercial Register in volume -tomo- 7496, Book -libro- 0, and sheet -hoja- SE-141,718. The company’s purpose is to acquire stakes in companies and provide consulting services, intermediation in transactions between entities, and in the purchase and sale, development, and operation of real estate.

“Aciturri Aeronautica SLU” is a Spanish limited liability company with its registered office in Miranda de Ebro (Burgos), Spain, and registered with the Burgos Commercial Register in volume -tomo- 579, page -folio- 55. Aciturri is an integrated level 1 aerostructures supplier, specialized in the design, manufacture, and assembly of high-tech composite aerostructures, as well as in the development and manufacture of aeronautical engine parts.
