In accordance with Article 13 of Law No. 104-12 on freedom of prices and competition and Article 10 of Decree No. 2-14-652 issued for its implementation, as amended and supplemented, the Competition Council makes available to the public the “summary of the transaction” below, containing the information provided by the parties.

NON-CONFIDENTIAL SUMMARY OF THE TRANSACTION PROVIDED BY THE PARTIES

The Competition Council has received notification of an economic concentration project consisting of the acquisition by the company “Société Nouvelle des Minoteries Itrane” (SNDMI) of the business assets related to the operation of the milling activity, held by the company “Minoterie Itrane SA”.

“Société Nouvelle des Minoteries Itrane” is a Moroccan joint-stock company, controlled by the “Cap Holding” group, with its head office located in Casablanca, 8 Rue Ali Abderrazak Résidence Plein Ciel 2nd Floor, registered with the Casablanca Trade Register under No. 652577. The “Cap Holding” group is an industrial and investment group active in milling, grain trading and storage, logistics, packaging, animal nutrition, as well as in the automotive and real estate sectors.

The target asset is a business located on Avenue Ibn Rochd, Tassila industrial area, in Inezgane. Its activity consists of wheat processing and the production and marketing of flour, mainly in Agadir and, to a lesser extent, in Marrakech.

“Minoterie Itrane SA” is a Moroccan joint-stock company, with its head office located in Inezgane, Avenue Ibn Rochd, Tassila Industrial Area, registered with the Inezgane Trade Register under number 5239. The company “Minoterie Itrane SA” is currently undergoing judicial reorganization and mainly engages in wheat processing and flour production.
