Press release from the Competition Council regarding the economic concentration project concerning the acquisition by the company “Al Mada Digital SAS” of joint control of the company “Sistemas Avanzados de Tecnologia Maroc SA”, alongside its historical shareholder, the company “Sistemas Avanzados de Tecnología SA”

In accordance with Article 13 of Law No. 104-12 on freedom of prices and competition and Article 10 of Decree No. 2-14-652 adopted for its implementation, as amended and supplemented, the Competition Council makes available to the public the “operation summary” below, containing the information provided by the parties.

This information has been prepared by the notifying parties, who are solely responsible. Any inaccurate or distorted information contained therein does not in any way prejudge the Competition Council’s position on the proposed operation.

NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council has received notification of the economic concentration project involving the acquisition, by the company “Al Mada Digital SAS”, of joint control of the company “Sistemas Avanzados de Tecnologia Maroc SA”, alongside its historical shareholder, the company “Sistemas Avanzados de Tecnología SA”, through the acquisition of 51% of its share capital and associated voting rights.

“Al Mada Digital SAS” is a Moroccan simplified joint-stock company, registered with the Casablanca Trade Register under number 577291, with its registered office at 60, rue d’Alger, Casablanca. “Al Mada Digital SAS” is not yet operational.

“Sistemas Avanzados de Tecnologia Maroc SA” is a Moroccan joint-stock company, registered with the Rabat Trade Register under number 40275, with its registered office at 9, Zone Industrielle Attasnia Al Massira, Témara. “Sistemas Avanzados de Tecnologia Maroc SA” wholly owns the company “Ingénierie des Télécommunications Intelcom SA”, a Moroccan joint-stock company, registered with the Rabat Trade Register under number 2838, with its registered office at 9, Zone Industrielle Attasnia Al Massira, Témara. This subsidiary specializes in the integration of technological solutions and information systems, including the provision of associated technological services, particularly in the telecommunications and IT infrastructure sector.

“Sistemas Avanzados de Tecnologia Maroc SA” is wholly owned by the company “Satec Inversiones Internacionales SLU”, which is in turn wholly owned by the company “Sistemas Avanzados de Tecnología SA”.

“Satec Inversiones Internacionales S.L.U” is a Spanish limited liability company, registered with the Asturias Trade Register under number AS-44835, with its registered office at Calle Campomanes, nº 20, 1º C, 33008 Oviedo (Asturias), Spain.

“Sistemas Avanzados de Tecnología SA” is a Spanish joint-stock company, registered with the Asturias Trade Register under number AS-5470, with its registered office at C/ Campomanes nº 20, 1ºC 33008 Oviedo, Spain. This company specializes in information systems integration and the provision of associated technological services.
