NON-CONFIDENTIAL SUMMARY OF THE TRANSACTION PROVIDED BY THE PARTIES
The Competition Council has received notification of a proposed economic concentration concerning the acquisition of exclusive control by the company «Logisteed, Ltd» of the company «Mars Logisteed Group Lojistik Anonim Şirketi», currently under the joint control of the companies « LOGISTEED, Ltd. » and « Garip Sahillioğlu ».
«Logisteed, Ltd» is a joint-stock company (kabushiki kaisha) incorporated under Japanese law, whose registered office is located at 2-9-2, Kyobashi, Chuo-ku, Tokyo 104-8350, Japan, registered in the commercial register (shogyo tokibo) of the Tokyo Legal Affairs Bureau under number 0100-01-226242. The company provides third-party logistics (3PL), contract logistics and supply chain management services in various jurisdictions. The wide range of solutions offered by the company includes freight transport, heavy transport and relocation services, as well as value-added logistics services such as packaging solutions and logistics IT solutions, enabling its customers to optimize and manage their supply chains. «Logisteed, Ltd» is indirectly majority-owned by investment funds, investment vehicles and/or accounts advised and managed by various subsidiaries of « KKR & Co. Inc. », which is an international investment company that offers alternative asset management services, as well as capital markets and insurance solutions.
«Mars Logisteed Group Lojistik Anonim Şirketi» is a joint-stock company, duly incorporated under Turkish law, whose registered office is located at Mahmutbey Mahallesi, Taşocağı Yolu Caddesi, Balance Güneşli, 19/7, İşyeri:72, Bağcılar, Istanbul, Turkey, and registered in the Istanbul commercial register under number 553444-0. The company is the parent company of the Target Group, whose principal activities include international freight transport (cross-border road, air, sea and intermodal transport), freight forwarding, as well as warehousing and warehouse management services.
