Press release from the Competition Council regarding the economic concentration project related to the merger between the company “Akzo Nobel N.V.” and the company “Axalta Coating Systems Ltd.”

The Permanent Commission of the Competition Council held its meeting at the Council’s headquarters on Monday, August 31, 2020 at 09:30, under the chairmanship of Mr. Driss Guerraoui, President of the Competition Council.
After a thorough examination of the agenda items for this meeting, the Permanent Commission made the following decisions:
– The decision of the Competition Council to grant the derogation provided for in paragraph 2 of Article 14 of Law No. 104-12 on freedom of prices and competition to the Group “Delfingen Industries S.A”, for the exclusive control, by this group, of the shares of Schlemmer Iberica S.A. U., Schlemmer Romania S.r.l., Schlemmer Russland, Schlemmer Italia S.r.l., Schlemmer Maroc SARL and Schlemmer Tunisie SARL and the assets of Schlemmer Holding GmbH, Schlemmer GmbH and Schlemmer Münchingen GmbH & Co KG;

-The decision of the Competition Council regarding the exclusive control by the company “Cooper Pharma Répartition S.A” of eight subsidiaries belonging to Cooper Pharma SA, considering that this is not an economic concentration operation within the meaning of Article 11 of Law No. 104-12 on freedom of prices and competition, and therefore this operation is not subject to the notification obligation.

Furthermore, the Permanent Commission of the Competition Council decided, in accordance with the provisions of Article 26 of Law 104-12, on the inadmissibility of the following two submissions:

-The submission from eight topographic survey firms regarding their complaint concerning two tenders launched by the Agency for the Promotion and Development of the Provinces of the North of the Kingdom and a tender launched by the Chamber of Representatives;

-The submission from the company Khamlich Moujahid Entrepreneur of Various Works regarding the tender launched by the National School of Arts and Crafts of Meknes, for the cleaning works of the premises of ENSAM Meknes.

The Permanent Commission had previously approved the minutes of its meeting held on August 10, 2020.
