Meeting of the Permanent Commission

The Permanent Commission of the Commission Council held its meeting, by video conference, on Thursday, March 11, 2021 at 3:00 pm, under the chairmanship of Mr. Driss Guerraoui, President of the Council.

At the beginning of its work, the Permanent Commission approved the minutes of its meeting held on March 5, 2021.

Furthermore, the Permanent Commission, noting the absence of impacts on competition in the relevant national markets, made decisions to authorize the following four economic concentration operations:

• • • • • The direct exclusive control by the company “Moroccan Drip Irrigation Company and Pumping Company” through the acquisition of 90% of the share capital and voting rights of the company “Comptoir Agricole Du Souss sa” which will in turn take direct exclusive control through the acquisition respectively of 51% and 85.29% of the share capital and voting rights of their subsidiaries “Process sarl” and “Agrival sarl”;
        • The direct exclusive control by the group “Akdital holding” through the acquisition of 75% of the share capital of the company “Clinique pédiatrique atfal sarl” managing the clinic “Atfal”, as well as all the share capital of the company “Bait al atfal .sarl” owner of the real estate operated by this clinic;
        • The direct exclusive control by the company “Elsan Maroc” through the acquisition of the remaining shares of the share capital and voting rights of the company “Clinique Ville Verte”;
        • And the indirect joint partial control by the company “Abu Dhabi Developmental Holding Company PJSC” through the acquisition of 45% of the share capital and voting rights of the company “Louis Dreyfus Company B.V”.
