NON-CONFIDENTIAL SUMMARY OF THE TRANSACTION PROVIDED BY THE PARTIES
The Competition Council received notification of an economic concentration project concerning the acquisition by the company « Virunga Genesis Ltd »of joint control of the company « ABA Life SASU » alongside the company « ABA Technology SAS ». The transaction consists of the subscription, by the company « Virunga Genesis Ltd », to reserved capital increases of the target company, currently wholly owned by the company « ABA Technology SAS ».
« Virunga Genesis Ltd » is a company incorporated under Rwandan law, whose registered office is located at KN 03/09 Avenue, Kiyovu, 1st Floor, I&M Building, Nyarugenge, Kigali, Rwanda, registered with the Rwanda Office of the Registrar General under number 157028573. It is an investment vehicle established for the purposes of the transaction, indirectly controlled by an investment fund advised by « Admaius Capital Partners Limited », a private equity company active in Africa.
« ABA Technology SAS » is a simplified joint-stock company incorporated under Moroccan law, with share capital of 6 250 000 MAD, whose registered office is located at Immeuble D, 2ème étage, boulevard Chefchaouni, km 8,5, Aïn Sebaâ, Casablanca, registered with the Casablanca Trade Register under number 365819. It is a holding company that controls, in addition to the company « ABA Life SASU », companies active in particular in electronics and security systems, IT solutions, the distribution of medical products and equipment, and the manufacture of pharmaceutical products.
« ABA Life SASU » is a single-shareholder simplified joint-stock company incorporated under Moroccan law, with share capital of 5 000 000 MAD, whose registered office is located at Immeuble D, 2ème étage, boulevard Chefchaouni, km 8,5, Aïn Sebaâ, Casablanca, registered with the Casablanca Trade Register under number 502327. It is active, through its subsidiaries, only in Morocco, in the sector of health solutions and services with a strong technological component, in particular connected mobile medical units and telemedicine.
