Press release from the Competition Council regarding an economic concentration involving the acquisition by “Q Logistics Holding LLC” of up to 100% of the share capital and voting rights of the company “Aramex PJSC”

In accordance with Article 13 of Law 104-12 on freedom of prices and competition as amended and supplemented, and Article 10 of Decree No. 2-14-652 issued for its implementation, the Competition Council makes available to the public the “summary of the transaction” below, containing the information provided by the parties.

This information has been prepared by the notifying parties, who are solely responsible. Any inaccurate or distorted information contained therein does not in any way prejudge the Competition Council’s position on the proposed transaction.

NON-CONFIDENTIAL SUMMARY OF THE TRANSACTION PROVIDED BY THE PARTIES

The Competition Council has received notification of an economic concentration transaction involving the exclusive control acquisition by the company “Abu Dhabi Developmental Holding Company PJSC”, through its subsidiary “Q Logistics Holding LLC”, of all the shares of Aramex PJSC.

“Abu Dhabi Developmental Holding Company PJSC” is an investment holding company based in Abu Dhabi, all of whose shares are indirectly held by the Abu Dhabi government, and which has a wide portfolio of companies active in the fields of food, health, logistics, tourism, etc.

“Aramex PJSC” is a company listed on the Dubai Financial Market since 2005 and specializes in logistics and transportation. In Morocco, the Aramex group operates through its subsidiaries “Aramex International Morocco SA” and “Aramex Morocco Logistics SARL”.
