In accordance with Article 13 of Law 104-12 on freedom of prices and competition as amended and supplemented, and Article 10 of Decree No. 2-14-652 for its implementation, the Competition Council makes available to the public the « summary of the transaction » below, containing the information provided by the parties.

NON-CONFIDENTIAL SUMMARY OF THE TRANSACTION PROVIDED BY THE PARTIES

The Competition Council received notification of an economic concentration transaction involving the establishment of a joint venture « Fertiglobe plc » by the companies « Abu Dhabi National Oil Company (ADNOC) PJSC » and « OCI NV ».

« OCI » is a Public Limited Company established in the Netherlands and listed on Euronext Amsterdam stock exchange. It is a global producer and distributor of nitrogen, methanol, and hydrogen-based products and solutions.

« ADNOC » is a company established in the UAE. It is an energy and petrochemical group operating across the entire hydrocarbon value chain through a network of integrated companies.

« ADNOC Fertilizers » is a wholly-owned subsidiary of ADNOC International Limited, which is itself a wholly-owned subsidiary of ADNOC PJSC.

« Fertiglobe plc » is a producer and distributor of nitrogen fertilizers.
