Press Release from the Competition Council regarding the economic concentration project concerning the acquisition, by “Grupo Bimbo S.A.B. de C.V.”, through “Bakery Iberian Investments S.L.”, of the exclusive control of “Joy Food International SARL”

In accordance with Article 13 of Law No. 104-12 on freedom of prices and competition and Article 10 of Decree No. 2-14-652 adopted for its implementation, as amended and supplemented, the Competition Council makes available to the public the ‘summary of the transaction’ below, containing the information provided by the parties.

This information has been prepared by the notifying party, which assumes full responsibility for it. Any inaccurate or distorted information contained therein shall in no way prejudge the Competition Council’s position on the proposed transaction.

The Competition Council has received notification of a concentration operation involving the acquisition of exclusive control by Grupo Bimbo S.A.B.of C.V., through Bakery Iberian Investments S.L., from Joy Food International SARL through the acquisition of 100% of the capital and voting rights. Grupo Bimbo S.A.B. de C.V. is a public company incorporated under Mexican law, with its headquarters located at Prolongación Paseo de la Reforma 1000, Col. Peña Blanca Santa Fe, Mexico City, 01210, Mexico. It is mainly engaged in the production and distribution of packaged industrial bread products. Bakery Iberian Investments S.L. is a limited liability company incorporated under Spanish law, registered in the Madrid Commercial Registry under number B61910550, with its headquarters located at Calle Cigoitia, 1, 28022, Madrid, Spain. It acts as an investment holding company owned by Grupo Bimbo S.A.B. de C.V. Joy Food International SARL is a limited liability company incorporated under Moroccan law, registered in the Casablanca Trade Register under number 126241, with its headquarters located at numbers 18-19, Lotissement El Batoul, Industrial Zone of Lissasfa, Casablanca, Morocco. It is mainly engaged in the production and distribution of packaged industrial bread.
