NON-CONFIDENTIAL SUMMARY OF THE OPERATION
The Competition Council received a notification regarding an economic concentration project concerning the acquisition by “AKDITAL SA” of the direct exclusive control of the company “POLYCLINIQUE DAY SA”, through the acquisition of 100% of the share capital and associated voting rights. “POLYCLINIQUE DAY SA” is a Moroccan joint-stock company, whose purpose is to operate a multidisciplinary clinic located in Beni-Mellal, with a hospitalization capacity of 153 beds and scheduled to start operations towards the end of 2023. “AKDITAL SA”, a Moroccan joint-stock company, is a holding company holding majority stakes in various companies specialized in investments and operation of private clinics in Morocco. It currently includes 21 private hospitals, multidisciplinary clinics, and Oncology Centers totaling 2,195 beds, located in 8 cities in the Kingdom. Its development program aims to increase its hospitalization capacity from the current 2,195 beds to 3,000 beds by opening new clinics in several regions of Morocco by 2025, to meet the needs related to the expansion of medical coverage in accordance with royal instructions.
