NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council received notification of an economic concentration operation concerning the acquisition by the company ‘Amethis Fund III SCA., SICAV-RAIF’ of a minority stake in the company ‘BH Holding’.

‘Amethis Fund III SCA SICAV-RAIF’ is a limited partnership by shares, a variable capital investment company – reserved alternative investment fund with its registered office at 4, rue Robert Stumper L-2557 Luxembourg registered with the Luxembourg Trade and Companies Register under number B276255, acting through its general partner Amethis Fund III Management SARL, a limited liability company under Luxembourg law registered with the Luxembourg Trade and Companies Register under number B274373.

‘BH Holding’, a limited liability company under Moroccan law, with a capital of 100,000 Moroccan Dirhams, whose registered office is located at Building A No. 12 Office 01 Borj Dlalat, Avenue Hassan II Agadir, registered with the Agadir Trade Register under number 35925. Its activity is the export of citrus fruits, early vegetables, and red fruits.
