Press release from the Competition Council regarding the economic concentration project concerning the acquisition by the company “Baleària Eurolíneas Marímas, SAU” of assets related to a part of the maritime transport activity of the group “Armas Trasmediterránea” in the Strait of Gibraltar

In accordance with Article 13 of Law No. 104-12 on freedom of prices and competition and Article 10 of Decree No. 2-14-652 issued for its implementation, as amended and supplemented, the Competition Council makes available to the public the “operation summary” below, containing the information provided by the parties.

NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council has received notification of an economic concentration project concerning the acquisition by the company “Baleària Eurolíneas Marítimas, S.A.U” of assets related to a part of the maritime transport activity of the group “Armas Trasmediterránea” in the Strait of Gibraltar.

“Baleària Eurolíneas Marítimas, SAU” is a Spanish public limited company, with its registered office at Calle Estación Marítima S/N, 03700, Denia, Alicante, Spain, registered with the Alicante Commercial Registry under Volume 2133, Page A-48549, Sheet 149, and with tax identification number NIF: A53293213. This company belongs to the Baleària group, active in maritime passenger and freight transport on routes connecting the Iberian Peninsula with the Balearic Islands, North Africa, and other destinations.

The assets in question include the assets of the “Armas Trasmediterránea” group necessary for the operation of the maritime route connecting the port of Algeciras and the port of Tanger Med, which notably consist of a single ship, the corresponding port concessions, the related public domain occupation contracts, ticket sales spaces in the relevant ports, the personnel necessary for its operation, as well as all the computer equipment and office materials used in this activity.

The selling companies are “Naviera de Jandía SL”, “Armas Trasmediterránea Factoring SL”, “Compañía Trasmediterránea SA”, “Naviera Armas SA”, “Trasmediterranea Shipping Maroc SARL”, “Agencia Schembri SA”, and “Artra Servicios Corporativos SL”. These companies belong to the “Armas Trasmediterránea” group, which is a maritime operator active in regular passenger and freight transport, particularly on routes between Spain and North Africa, including in the Strait of Gibraltar.
