NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES
The Competition Council received notification of an economic concentration project consisting of the exclusive acquisition by the company “Biobest Group, NV” of the company “Biobest Maroc, S.A.R.L”. This operation involves the acquisition of 50% of the target company’s capital and voting rights, with the acquirer already holding the remaining 50%.
“Biobest Group, NV” is a Belgian public limited company with a capital of €514,492,741.99, registered with the Crossroads Bank for Enterprises (CBE) under number 0893.948.337, with its registered office at Ilse Velden 18, 2260 Westerlo, Belgium. “Biobest Group, NV” specializes in the production and marketing of biological solutions for agriculture, including natural pollination and biological pest control.
“Biobest Maroc, S.A.R.L” is a Moroccan limited liability company with a capital of 2,650,000 dirhams, registered with the Agadir Trade Register under number 3097, with its registered office at Route de Tiznit, KM 39, Tin Mansour, Province of Chtouka-Aït Baha, Morocco. “Biobest Maroc, S.A.R.L” is a producer of biological pest control solutions, particularly using beneficial insects.
