NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES
The Competition Council received notification of an economic concentration operation concerning the exclusive control acquisition by the company ‘CIRCOR France SAS’ of the company ‘Société de Prestations Mécaniques et Aéronautiques SAS’.
‘CIRCOR France SAS’ is a simplified joint-stock company under French law with its registered office at 28 Avenue Clara, 94420 Le Plessis-Trévise and is registered with the Commercial and Companies Register of Créteil under number 969 202 688. ‘CIRCOR France SAS’ is wholly owned by ‘CIRCOR International, Inc.’ (with its subsidiaries, the ‘CIRCOR Group’). The CIRCOR Group designs, manufactures, and markets differentiated technological products and subsystems in the industry, aerospace, and defense sectors.
The CIRCOR Group is predominantly indirectly owned by investment funds, vehicles, and/or accounts advised and managed by various subsidiaries of KKR & Co. Inc. (‘KKR & Co.’ and, with its subsidiaries, ‘KKR’). ‘KKR’ is an international investment company that offers alternative asset management services, as well as solutions in capital markets and insurance. ‘KKR’ oversees funds that invest in private equity, credit, and real assets, and has strategic partners managing hedge funds.
‘Société de Prestations Mécaniques et Aéronautiques SAS (SPMA)’ is a simplified joint-stock company under French law with its registered office at Zone artisanale des Platanes, rue Louis Fournier, 77100 Meaux, France and registered with the Commercial and Companies Register of Meaux under number 345 237 168. ‘SPMA’ is active in the supply of machined spare parts manufactured based on customer technical specifications (machining services), mainly for the aerospace sector.
