NON-CONFIDENTIAL SUMMARY OF THE OPERATION

The Competition Council has received notification of an economic concentration operation involving the exclusive control acquisition by the company ‘Delivery Hero SE’ of the company ‘GlovoApp23 SA’ through the acquisition of 94.49% of its share capital and related voting rights.

‘Delivery Hero SE’ is a German company, headquartered at Oranienburger Str. 70, 10117, Berlin, registered in the Commercial Register of the local court of Charlottenburg (Berlin), Germany, under the number HRB 198015 B (formerly HRB 187081 B). It is a European multinational that mainly provides online food ordering and delivery services in over 60 countries in Europe, the Middle East, North Africa, Asia, and America, under various brands, including Foodpanda, Talabat, PedidosYa, and Glovo.

‘GlovoApp23 SA’ is a Spanish public limited company, headquartered at Rue Pallars, No. 190, Barcelona, Spain, and registered under the Spanish tax identification number (NIF) A-66362906. Glovo is a technological platform whose main activity is the development and management of a technological platform that, through a mobile application or website (the APP), allows certain local stores in certain cities to offer their products through it. Glovo operates globally and is present in over 20 countries, including Morocco, through its Moroccan subsidiaries active in the field of technological platforms for ordering and home delivery.
