Press release from the Competition Council regarding the economic concentration project concerning the acquisition by the company “Fenie Brossette SA” of a business located in Agadir held by the company “Sopriam SA”.

In accordance with Article 13 of Law No. 104-12 on freedom of prices and competition and Article 10 of Decree No. 2-14-652 adopted for its implementation, as amended and supplemented, the Competition Council makes available to the public the “summary of the operation” below, containing the information provided by the parties.

NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council has received notification of an economic concentration project concerning the acquisition by the company “Fenie Brossette SA” of 100% of the business – currently and exclusively held by the company “Société de Promotion Industrielle et Automobile au Maroc” (Sopriam).

“Fenie Brossette SA” is a Moroccan joint-stock company with a capital of 143,898,400 dirhams, headquartered at Douar Ouled Hadda, Route Mediouna Rn 9, Commune Sidi Hajjaj Oued Hassar-Casablanca, Morocco, registered with the Casablanca Trade Register under number 865. It is mainly active in the marketing of industrial and construction equipment and notably develops activities in the production, sale, and rental of scaffolding, storage, and lighting equipment. It has also been operating in the automotive distribution sector since 2013.

“Sopriam SA” is a Moroccan joint-stock company with a capital of 38,440,000 dirhams, headquartered at 125 Boulevard Moulay Slimane, Ain Sebaa, Casablanca, Morocco, registered with the Casablanca Trade Register under number 36449. It operates in the automotive distribution sector and spare parts and distributes several automotive brands in Morocco, including Peugeot, Citroën, and DS.

The Target Asset is a business dedicated to the marketing of new Peugeot Citroën and DS brand vehicles, used vehicles of all brands, spare parts, repair, and maintenance located at No. 36, RP-40, Tassila District – Prefecture – Inezgane Ait Melloul.
