Press release from the Competition Council regarding the economic concentration project concerning the acquisition by the company “Gestion Naviera, SL” of assets related to the maritime transport activity of the group “Armas Trasmediterránea” in the Alboran Sea

In accordance with Article 13 of Law No. 104-12 on freedom of prices and competition and Article 10 of Decree No. 2-14-652 issued for its implementation, as amended and supplemented, the Competition Council makes available to the public the “operation summary” below, containing the information provided by the parties.

NON-CONFIDENTIAL SUMMARY OF THE OPERATION

PROVIDED BY THE PARTIES

The Competition Council received notification of an economic concentration project concerning the acquisition by the company “Gestion Naviera, SL” of assets held by the group “Armas Trasmediterránea” for the operation of maritime routes in the Alboran Sea.

“Gestion Naviera, SL” is a limited liability company established under Spanish law, with its registered office at Estación Marítima Vieja S/N, 07800, Ibiza, Balearic Islands in Spain, and registered with the Ibiza Commercial Registry under tax identification number NIF: B57030751. This company belongs to the Baleària group, active in maritime passenger and freight transport on routes connecting the Iberian Peninsula to the Balearic Islands, North Africa, and other destinations.

The target assets include the operational units necessary to provide maritime freight and passenger transport services on various routes in the Southeastern Spain and Northeastern Morocco areas, as well as other routes serving other countries in the region. In particular, these assets include 3 ships, the corresponding port concessions, the related public domain occupancy contracts, ticket sales spaces in the ports concerned, the personnel necessary for their operation, as well as all the IT equipment and office supplies used in this activity.

The selling company is “Anarafe SLU”, a company established in Spain, with its registered office at calle Doctor Juan Domínguez Pérez, 2 – Urbanización el Sebadal, Las Palmas de Gran Canaria, 35009, Las Palmas, and registered with the Las Palmas de Gran Canaria Commercial Registry under volume 1473, page GC-22908, sheet 175, IRUS: 1000071080243 and holder of Spanish tax identification number NIF B35591478. “Anarafe SLU” is the parent company of the group “Armas Trasmediterránea”, which is a maritime operator active in regular passenger and freight transport, particularly on routes between Spain and North Africa, including in the Strait of Gibraltar.
