Press release from the Competition Council regarding the economic concentration project concerning the acquisition by the company “H&S Invest Holding SA” and joint control of the company “Global Infrastructure Development North Africa SARL” alongside its historical partners

In accordance with Article 13 of Law No. 104-12 on freedom of prices and competition and Article 10 of Decree No. 2-14-652 issued for its implementation, as amended and supplemented, the Competition Council makes available to the public the “operation summary” below, containing the information provided by the parties.

NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council has received notification of an economic concentration operation concerning the acquisition by the company “H&S Invest Holding SA” of joint control of the company “Global Infrastructure Development North Africa SARL”, through the acquisition of 25% of its share capital and related voting rights alongside its historical partners.

“H&S Invest Holding SA” is a Moroccan joint-stock company, headquartered at 203 Bd Zerktouni 3rd Floor, Casablanca, registered in the Casablanca Trade Register under number 140531. It is a holding company with subsidiaries active in the distribution of consumer products, pharmacy, industry, logistics, and e-commerce.

“Global Infrastructure Development North Africa SARL” is a Moroccan limited liability company, with its headquarters at Avenue Al Kairaouane, No. 86, Narjiss A, Fes, registered in the Fes Trade Register under number 25443, and active in construction and building development works.
