In accordance with Article 13 of Law No. 104-12 on freedom of prices and competition and Article 10 of Decree No. 2-14-652 adopted for its implementation, as amended and supplemented, the Competition Council makes available to the public the “summary of the transaction” below, containing the information provided by the parties.

The Competition Council has received notification of an economic concentration project concerning the acquisition by the company “Ibert Investments SARL” of the exclusive control of the company “IRCA Group Luxembourg Midco 4 SARL”.

“Ibert Investments SARL” is a limited liability company established under the laws of the Grand Duchy of Luxembourg, registered under number B308900 and with its registered office at 29, Avenue de la Porte-Neuve, L-2227, Grand Duchy of Luxembourg. “Ibert Investments SARL” is indirectly owned by funds advised and/or managed by subsidiaries of “CVC Capital Partners plc”.

“CVC Capital Partners plc” is a publicly traded company on Euronext Amsterdam, registered under number 140080, with its registered office at 1st Floor, IFC1, Esplanade, St Helier, Jersey, JE2 3BX. “CVC Capital Partners plc” specializes in asset management and is an investment fund manager holding stakes in a number of companies active in various sectors worldwide, including financial services, chemicals, utilities, manufacturing, retail, and distribution, in Europe, the United States, and the Asia-Pacific region.

“IRCA Group Luxembourg Midco 4 SARL” is a limited liability company established under the laws of the Grand Duchy of Luxembourg, registered with the Trade and Companies Register under number B266716 and with its registered office at 124, boulevard Petrusse, L-2330, Grand Duchy of Luxembourg. “IRCA Group Luxembourg Midco 4 SARL” is engaged in the production and distribution of ingredients, semi-finished and finished products for the confectionery, ice cream, and bakery industries.
