Press release from the Competition Council regarding the economic concentration project concerning the acquisition by the company “Laprophan SA” of the exclusive control of the company “Corporate Investment Holding SA” and its subsidiaries

In accordance with Article 13 of Law No. 104-12 on freedom of prices and competition and Article 10 of Decree No. 2-14-652 issued for its implementation, as amended and supplemented, the Competition Council makes available to the public the “operation summary” below, containing the information provided by the parties.

This information has been prepared by the notifying parties, who are solely responsible. Any inaccurate or distorted information contained therein does not in any way prejudge the Competition Council’s position on the proposed operation.

NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council received notification of an economic concentration operation concerning the acquisition by the company “Laprophan SA” of the exclusive control of the company “Corporate Investment Holding SA” and its subsidiaries.

“Laprophan SA” is a Moroccan joint-stock company, headquartered at Km 7, Route de l’unité, Aïn Sebaâ, Route de Rabat, Casablanca, registered with the Casablanca Trade Register under number 16499. It is active in the production, import, and distribution of pharmaceutical specialties and dietary supplements in Morocco, with recent expansion internationally through the acquisition of a majority stake in the companies “Pian Holding BV”, “Rivopharm Limited”, and “Double E Pharma Limited”.

“Corporate Investment Holding SA” is a Moroccan joint-stock company, headquartered at rue Amyot d’Inville, Quartier Arsalane, Casablanca, registered with the Casablanca Trade Register under number 189919. It holds 98.4% of the share capital and voting rights of the company “Polymedic SA”, which itself holds 100% of the capital of the company “Sterilab SARL” and associated voting rights. It also holds the entire share capital and voting rights of the companies “Pharmena SARLAU”, “Promaceutique SARLAU”, and “Foncière Amyot SARLAU”.

“Polymedic SA” is a Moroccan joint-stock company, headquartered at rue Amyot d’Inville, Quartier Arsalane, Casablanca, registered with the Casablanca Trade Register under number 29277. It is a pharmaceutical laboratory active in the manufacture and marketing of generic drugs and licensed specialties, as well as in contract manufacturing for third parties. It also recently started marketing dietary supplements.

“Pharmena SARLAU” is a single-member limited liability company under Moroccan law, headquartered at Lot Dada, No. 77, Salé, registered with the Salé Trade Register under number 18721. It is intended to be active in the distribution of dietary supplements and currently has no activity.

“Promaceutique SARLAU” is a single-member limited liability company under Moroccan law, headquartered at rue Amyot d’Inville, Quartier Arsalane, Aïn Borja, Casablanca, registered with the Casablanca Trade Register under number 632273. It is active in consulting as well as information and promotion services for health or cosmetic products on behalf of the CIH group.

“Foncière Amyot SARLAU” is a single-member limited liability company under Moroccan law, headquartered at rue Amyot d’Inville, Quartier Arsalane, Aïn Borja, Casablanca, registered with the Casablanca Trade Register under number 632271. It is active in the acquisition, development, enhancement, and rehabilitation of real estate assets and holds the real estate assets of the entities affiliated with the company “Corporate Investment Holding SA”.

“Sterilab SARL” is a limited liability company under Moroccan law, headquartered at rue Amyot d’Inville, Quartier Arsalane, Aïn Borja, Casablanca, registered with the Casablanca Trade Register under number 153299. It is intended to be active in the marketing of parapharmaceutical products, hygiene products, and medical equipment and currently has no activity.
