NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council has received notification of an economic concentration project concerning the exclusive control takeover by the company “M&J Inv España 2025” of the company “Ficosa International, SA”, through the acquisition of 100% of the share capital and voting rights attached thereto.

“M&J INV España 2025” is a Spanish company established on June 27, 2025, with its registered office at Gran Vía Carlos III, 98, 5th floor, Barcelona, and holding the tax identification number (N.I.F.) B-22.665.962. It is an investment vehicle wholly owned by Mr. Javier Pujol, dedicated to the needs of this operation.

“Ficosa International, SA” is a Spanish public limited company, registered in the Commercial Register of Barcelona under number A08420689, with its registered office at Gran Via Carlos III, 98, 5th floor, Barcelona, Spain. It is the holding company of the Ficosa group, specialized in research, development, manufacturing, and marketing of advanced vision, security, connectivity, and efficiency systems for the automotive and mobility sectors.
