NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES
The Competition Council received notification of an economic concentration project concerning the exclusive takeover by the company “Pegasus Hava Tasimaciligi, AS” through its subsidiary “Pegasus Europe BV” of the company “Ceské Aerolinie AS” and all of its subsidiaries, through the acquisition of 100% of its share capital and voting rights.
“Pegasus Europe B.V” is a Dutch limited liability company registered under number 99127814 with its registered office at Herikerbergweg 238, Luna Arena, 1101 CM Amsterdam, Netherlands. It is an investment vehicle created for the needs of this operation.
“Pegasus Hava Tasimaciligi, AS” is a Turkish joint-stock company registered under number 261186 with its registered office at Aeropark Yenişehir Mah. Osmanlı Bulvarı, Istanbul, Turkey. It is a low-cost Turkish airline. It offers mainly domestic and international regular flights, primarily from its main hub located at Istanbul’s Sabiha Gökçen International Airport.
“Ceské Aerolinie AS” is a Czech joint-stock company registered in the Commercial Register kept by the Municipal Court of Prague under file number B 1662, with its registered office at K letišti 1068/30, Ruzyně, Prague, Czech Republic. It is the holding entity of the Smartwings group, which is primarily active in operating international charter and regular flights as well as in aircraft leasing with crew (wet lease) or without crew (dry lease), and incidentally in freight and parcel transport services, to a limited extent as a secondary activity to its main business.
