Press release from the Competition Council regarding the economic concentration project concerning the acquisition by the company « Rethmann France SAS » of the exclusive control of the company « Transdev Group SA », through the acquisition of an additional 32% of the share capital and related voting rights

In accordance with Article 13 of Law No. 104-12 on freedom of prices and competition and Article 10 of Decree No. 2-14-652 issued for its implementation, as amended and supplemented, the Competition Council makes available to the public the « summary of the transaction » below, containing information provided by the parties.

NON-CONFIDENTIAL SUMMARY OF THE TRANSACTION PROVIDED BY THE PARTIES

The Competition Council received notification of an economic concentration operation concerning the acquisition by the company « Rethmann France SAS » of an additional 32% of the share capital of the company « Transdev SA » and the related voting rights. Following the proposed transaction, « Rethmann France SAS » will hold a majority of 66% of the capital and exclusive control of the target « Transdev Group SA ».

« Rethmann France SAS » is a French simplified joint-stock company established in 2018, engaged in fund management. It is controlled by « Rethmann SE & Co. KG », which operates in the environmental management, logistics, transport, manufacturing, and industrial production sectors.

« Transdev Group SA » is a French public limited company established in 2011. It is a global mobility operator that designs, implements, and operates passenger transport systems integrating all modes of land and sea transport.
