NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council has received notification of an economic concentration project concerning the acquisition by the company “Saham Paiements SA” of the assets of the company “Centre Monétique Interbancaire SA” consisting of merchant membership contracts related to the activity of monetary payments on (i) Electronic Payment Terminal “EPT” and (ii) online via credit card (acquisition “PEL” and E-Commerce Gateway “PSP”).

“Saham Paiements SA” is a Moroccan joint stock company, with its registered office at 55, Boulevard Abdelmoumen 20100, Casablanca, registered with the Casablanca Trade Register under number 684949.Elle est active dans le marché des paiements électroniques par carte.

The target assets consist of contracts between merchants and ‘Centre Monétique Interbancaire SA’. The latter is a public limited company incorporated under Moroccan law, with its registered office located at 8, Avenue Moulay Rachid, Casablanca, and registered with the Casablanca Trade Register under number 107713. It operates in the field of electronic payment studies and services
