NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES
The Competition Council received notification of an economic concentration operation concerning the acquisition, by the company ‘Samsung Electronics Co., Ltd.’, through its subsidiary ‘Samsung Electronics Europe Holding Coöperatief UA’, of all the shares of the company ‘FläktGroup Holding GmbH’ with its subsidiaries.
‘Samsung Electronics Europe Holding Coöperatief UA’ is a Dutch law Cooperative ‘Coöperatie’ subsidiary of ‘Samsung Electronics Co. Ltd.’, a provider of consumer electronics (including televisions, screens, air conditioners, refrigerators, and washing machines), information technology and mobile communication systems (including mobile phones, tablets, wearable devices, and network systems), and device solutions (such as semiconductors and mobile application processors). It manufactures OLED screens for smartphones, as well as automotive products (such as digital cockpits, car audio systems, and portable speakers).
‘FläktGroup Holding GmbH’ is a German limited liability company, headquartered in Herne, Germany, that develops, manufactures, and markets air technology solutions that ensure indoor air comfort and fire safety for a wide range of applications, mainly for non-residential use.
