NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council has received notification of an economic concentration project concerning the joint control acquisition by the company “Société des Boissons du Maroc SA” of the company “Africa Retail Market SA”, through the acquisition of 33.3% of its share capital and related voting rights.

“Société des Boissons du Maroc SA” is a Moroccan public limited company listed on the Casablanca Stock Exchange, with its head office located at 38 Boulevard Ain Ifrane, Lot Alamia, Sidi Moumen, Casablanca, registered with the Casablanca Trade Register under number 347SBM. It is active in the production and sale of alcoholic beverages (beers and wines), carbonated beverages (lemonade), and olive oil.

“Africa Retail Market SA” is a Moroccan public limited company, with its head office located at Lot Al Kasr Industrial Zone Skhirat Business Valley Oued Ykem, Skhirat, registered with the Témara Court of First Instance under number 136243. It is active in modern distribution with a focus on food.
