Press release from the Competition Council regarding the economic concentration project concerning the acquisition by the company “The Carlyle Group Inc.”, through the company “Campobelo Investments SLU”, of the exclusive control of the companies “Seidor Solutions SL” and “Seidor Logistics SL”

In accordance with Article 13 of Law No. 104-12 on freedom of prices and competition and Article 10 of Decree No. 2-14-652 issued for its implementation, as amended and supplemented, the Competition Council makes available to the public the “summary of the operation” below, containing the information provided by the parties.

This information has been prepared by the notifying parties, who are solely responsible. Any inaccurate or distorted information contained therein does not in any way prejudge the Competition Council’s position on the proposed operation.

NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council has received notification of an economic concentration operation consisting of the acquisition by the company “The Carlyle Group Inc.” through the company “Campobelo Investments SLU”, of the exclusive control of the companies “Seidor Solutions SL” and “Seidor Logistics SL”.

“The Carlyle Group Inc.” is a US company, active in alternative asset management and managing funds that invest internationally in three investment disciplines: (i) global private equity (including corporate private equity, real estate, and natural resources private equity); (ii) global credit (including liquid credit, illiquid credit, and real assets credit); and (iii) investment solutions (private equity fund program, which includes primary fund, secondary fund, and corresponding co-investment activities).

“Campobelo Investments SLU” is a Spanish limited liability company, headquartered in Madrid.

“Seidor Logistics SLU” is a duly established Spanish limited liability company with its registered office in Barcelona.

“Seidor Solutions SLU” is a duly established Spanish limited liability company with its registered office in Barcelona.

The companies “Seidor Logistics SLU” and “Seidor Solutions SLU” are IT consulting companies mainly active in (i) the creation, development, marketing, installation, launch, and maintenance of computer software, programming, and technical support, (ii) marketing, installation, repair, and maintenance of computer hardware and auxiliary materials, and (iii) provision of IT services, including consulting services. Both companies are 100% owned by the company “Seidor SA”.
