Press release from the Competition Council regarding the economic concentration project concerning the acquisition of exclusive control by the company “One Retail SA” of the company “Be Cafetal SARL”

In accordance with Article 13 of Law No. 104-12 on freedom of prices and competition and Article 10 of Decree No. 2-14-652 adopted for its implementation, as amended and supplemented, the Competition Council makes available to the public the “summary of the operation” below, containing the information provided by the parties.

NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council has received notification of an economic concentration project consisting of the exclusive control acquisition by the company “ONE Retail SA” of the company “Be Cafetal SARL”, through the acquisition of 100% of the share capital and related voting rights.

“One Retail” is a Moroccan joint-stock company, established in 2023, with its registered office located in the Ouled Saleh Industrial Zone, Bouskoura, Casablanca, and registered with the Casablanca Trade Register under number 601583. “One Retail” is owned by the “H&S Invest Holding” group and operates in the distribution and retail sector.

“Be Cafetal SARL” is a Moroccan limited liability company, established in 2010, registered with the Tangier Trade Register under number 82187, with its registered office located in Machlawa, Tétouan Street, KM 2, Tangier. It wholly owns the company “Dahab Industrie”. “Be Cafetal SARL” is active in the coffee roasting and sales market, operating a network of coffee shops under the “Dahab” brand.
