Press release from the Competition Council regarding the economic concentration project concerning the acquisition of exclusive control of the company “Biben Holdings BV” by “Sergic International SAS” through the acquisition of an additional 31% of its share capital and associated voting rights

In accordance with Article 13 of Law No. 104-12 on freedom of prices and competition and Article 10 of Decree No. 2-14-652 adopted for its implementation, as amended and supplemented, the Competition Council makes available to the public the “summary of the operation” below, containing the information provided by the parties.

NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

“The Competition Council has received notification of an economic concentration operation concerning the acquisition by the company “Sergic International SAS” of exclusive control of the company “Biben Holdings BV” through the acquisition of an additional 31% of the share capital and voting rights associated therewith.

“Sergic International SAS” is a simplified joint-stock company under French law and part of the SERGIC GROUP, active in the management and valorization of real estate assets (professional syndic of real estate co-ownerships, rental management, buying-selling), the operation of serviced residences, and technical support for the energy transition of real estate.

“Biben Holdings BV” is a private limited liability company (besloten vennootschap met beperkte aansprakelijkheid) under Dutch law, active through its subsidiary “Biben ADB SARLAU”, a single-member limited liability company under Moroccan law, in the market of professional syndics of real estate co-ownerships in Morocco.
