Press release from the Competition Council regarding the economic concentration project concerning the acquisition of exclusive control of the company “Midparc SA” by the company “Med Z SA” through the acquisition of the remaining 66% of its share capital and related voting rights

In accordance with Article 13 of Law No. 104-12 on freedom of prices and competition and Article 10 of Decree No. 2-14-652 issued for its implementation, as amended and supplemented, the Competition Council makes available to the public the “operation summary” below, containing information provided by the parties.

NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council has received notification of an economic concentration operation concerning the acquisition of exclusive control of the company “Midparc SA” by the company “Med Z SA”. This operation, subject to obtaining the required regulatory authorizations, involves the acquisition of the remaining 66% of the shares in the share capital of the company “Midparc SA”.

“Med Z SA” is a Moroccan joint-stock company with a share capital of 2,154,797,500 MAD, headquartered at Espace des Oudayas, Angle Avenue Annakhil and Avenue Mehdi Benbarka, Hay Riad, Rabat. It is a subsidiary of the Caisse de Dépôt et de Gestion “CDG” and is engaged in the design and development of economic activity zones.

“Midparc SA” is a Moroccan joint-stock company with a share capital of 22,000,000 MAD, headquartered at Zone Franche Nouaceur, Casablanca, Morocco. Its purpose is the acquisition, design, construction, and marketing of industrial lots located within the industrial acceleration zone of Midparc in Nouaceur, intended to be leased to aeronautical industrialists.
