Press Release from the Competition Council regarding the economic concentration project concerning the acquisition of exclusive control of the company “SHANGHAI RAAS BLOOD PRODUCTS CO., LTD.” by the company “HAIYINGKANG (QINGDAO) MEDICAL TECHNOLOGY CO., LTD.”

In accordance with Article 13 of Law 104-12 on freedom of prices and competition and Article 10 of Decree No. 2-14-652 adopted for its implementation as amended and supplemented, the Competition Council makes available to the public the “operation summary” below, containing the information provided by the parties.

This information was prepared by the notifying parties, who are solely responsible. Any inaccurate or distorted information contained therein does not prejudge the Competition Council’s position on the proposed operation.

Names of the companies and groups concerned:

– The acquirer: The company “HAIYINGKANG (QINGDAO) MEDICAL TECHNOLOGY CO., LTD.” belonging to the group “HAIER GROUP CORPORATION”;

– The target: The company “SHANGHAI RAAS BLOOD PRODUCTS CO., LTD.”.

Nature of the operation

– Acquisition of exclusive control.

Economic sectors concerned

– Supply of in vitro diagnostic products;

– Supply of blood grouping solutions.

NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

A notification was sent to the Council regarding a concentration operation by which “Haiyingkang (Qingdao) Medical Technology Co., Ltd.” (“Haiyingkang” or the “Acquirer”) intends to acquire exclusive control of “Shanghai RAAS Blood Products Co., Ltd.” (“SRAAS” or the “Target”) by acquiring 20% of all issued and outstanding shares of the Target.

The proposed operation concerns the following companies:

• Haiyingkang (the Acquirer), 100% owned by “Haier Group Corporation” and exclusively controlled by it; and
• SRAAS (the Target), a company listed on the Shenzhen Stock Exchange.

The commercial activities of the companies concerned are as follows:

• Regarding Haiyingkang: a vehicle specially established for the needs of the proposed operation. “Haiyingkang” is indirectly wholly owned and exclusively controlled by “Haier Group Corporation,” whose activities are related to the manufacture and distribution primarily of consumer electronics and household appliances worldwide; and
• Regarding SRAAS: the manufacture of blood products in China, which includes plasma collection, research and development, production, and sale of blood products.
