NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES
The Competition Council has received notification of an economic concentration project consisting of the acquisition of exclusive indirect control by the company « Saudi Electronic Gaming Holding Company », through its subsidiary « East Gate Games Investment Company », of the companies « Moonton Holdings Limited » and « Shanghai Mutong Technology Co., Ltd. », by acquiring 100% of their capital and voting rights, as well as those of their respective subsidiaries.
« East Gate Games » is a Saudi limited liability company, established in January 2026, and registered under number 7053452103, 100% owned by the company « Saudi Electronic Gaming Holding Company », headquartered in Riyadh, Kingdom of Saudi Arabia. It is a special purpose vehicle created for the purpose of this operation.
« Saudi Electronic Gaming Holding Company » is a Saudi company, established in November 2021, and registered under number 1010758131, with its headquarters at Building 1.09, King Abdullah Financial District, Al Aqeeq District, Riyadh 13519, Kingdom of Saudi Arabia. It is a holding company 100% owned by the « Public Investment Fund », whose main activity is to invest in companies specialized in the development, marketing, and publishing of games for mobile devices, and to manage them.
« Moonton Holdings Limited » is a company based in the Cayman Islands, established in November 2017, and registered under number 329066, with its headquarters at P.O. Box 31119, Grand Pavilion, Hibiscus Way, 802 West Bay Road, Grand Cayman, KY1-1205, Cayman Islands.
« Shanghai Mutong Technology Co., Ltd » is a Chinese company, established in January 2014, and registered under number 91310101091821567U, with its headquarters at Room 810, No. 655 Yinxiang Road, Jiading District, Shanghai, China.
The target group is mainly active globally in the development and publishing of games for mobile devices, as well as in related activities.
