The Competition Council has received notification of a project for an economic concentration operation concerning the acquisition of indirect exclusive control of the company “Green Mobility Holding SA” by the company “Volkswagen Aktiengesellschaft AG” via its subsidiary “Europcar Holding Luxembourg SA” through the acquisition of 27% of the shares and voting rights related thereto.
“Volkswagen Aktiengesellschaft AG” is a publicly traded German corporation, headquartered at Berliner Ring 2, 38440 Wolfsburg, Germany, registered with the local court of Braunschweig under number HRB 100484. The Volkswagen Group operates globally through the development, manufacturing, marketing, and sale of a wide range of vehicles, including passenger cars, light commercial vehicles, trucks, buses, coaches, bus chassis, diesel engines, and motorcycles. The group’s activities also extend to the distribution of spare parts and accessories for its vehicles. In the national market, the Volkswagen Group is present through two subsidiaries: Scania Maroc SA and Scania Finance Maroc SA.
“Europcar Holding Luxembourg SA” is a wholly-owned subsidiary of the Volkswagen Group, created solely for the purposes of this transaction.
“Green Mobility Holding SA” is the parent company of “Europcar Mobility Group SA,” a Luxembourg corporation headquartered at 19-21, route d’Arlon, 8009 Strassen, Luxembourg, registered with the Luxembourg Trade and Companies Register under number B257696.
“Europcar Mobility Group SA” is a French corporation headquartered at 13 ter boulevard Berthier, 75017 Paris (France), registered with the Paris Trade and Companies Register under number 489.099.903. It is active in mobility services, particularly car rental. The group’s main brands are: “Europcar,” “Goldcar,” and “Fox Rent A Car.”
In the national market, the Europcar group provides vehicle rental services indirectly through franchise agreements.
