NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES
The Competition Council received notification of an economic concentration project concerning the creation of a joint venture « aiRTS SAS » by the company « Airtelis SAS » and the company « Segula Global Services SAS ».
« Airtelis SAS » is a simplified joint-stock company under French law, with its registered office at Immeuble Greenwork, 249, rue Jean Dausset, 84000 Avignon, France, and registered with the Avignon Trade and Companies Register under number 532 602 265. « Airtelis SAS » is exclusively controlled by the company « Réseau de transport d’électricité (RTE) », itself jointly controlled by « Électricité de France (EDF) » and the Caisse des dépôts et consignations (CDC). « Airtelis SAS » mainly provides helicopter services in France and to a lesser extent in the European Economic Area, with a versatile fleet of helicopters dedicated mainly to electrical infrastructure, emergency interventions, offshore operations on wind farms, and civil helicopter maintenance services. « Airtelis SAS » is not active in the national market.
« Segula Global Services SAS » is a simplified joint-stock company under French law, with its registered office at 103, boulevard de la Mission Marchand, 92400 Courbevoie, France, and registered with the Nanterre Trade and Companies Register under number 414 393 694. SGS is an indirect subsidiary of « Segula Holding SAS », the parent company of the Segula Group, positioning itself as a global engineering and technology consulting group with approximately 14,000 employees and active in the automotive, aerospace, energy, rail, and naval sectors. The Segula Group is present in Morocco through several subsidiaries (Segula Maroc Africa SA, Segula Morocco SARL, Simra Maroc SA, Simra Tanger SARL, and RDO SARL) offering engineering and consulting services for the automotive, aerospace, energy, and rail sectors.
« aiRTS SAS » is a simplified joint-stock company under French law currently being registered, with its share capital to be held at 51% and 49%, respectively, by the companies « Airtelis SAS » and « Segula Global Services SAS ». The registered office of « aiRTS SAS » will be established in France. Its purpose will be to take over and develop Airtelis’ activities of providing non-heavy maintenance, repair, and operations (MRO) services for civil helicopters, on behalf of mainly French and, to a lesser extent, European third-party clients. « aiRTS SAS » will not carry out any activities in Moroccan territory and will not serve Moroccan clients.
