NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES
The Competition Council received a notification of an economic concentration operation concerning the establishment of a joint venture by the company “TESCA Group SAS” and the company “MAFACO S.A.”.
“Mafaco SA” is a Moroccan joint stock company, active in the manufacture of automotive fabric. “Mafaco SA” is a wholly-owned subsidiary of “Safari SA”.
“TESCA Group SAS” is a French simplified joint-stock company, active in the manufacture of textiles and seat components for the automotive industry. It is owned by “Fern France” with its headquarters in Paris-La Défense, which is the parent company of the “TESCA” Group companies.
The joint venture will be a Moroccan joint stock company whose corporate purpose, in Morocco and abroad, whether on its own behalf or on behalf of others, includes all industrial and commercial operations related to the study, design, development, manufacture, assembly, marketing, purchase, sale, and distribution of all textile products, knitted or woven, laminated or not, intended for the automotive industry and cut and sewn parts for the interior of motor vehicles, the manufacture of automotive seat headrests, namely the metal frame of the headrest, as well as all related and complementary activities.
