NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES
The Competition Council received notification of an economic concentration operation concerning the establishment of the joint venture « Morocco Aviation Fuel Services SA » by the company « Société Afriquia Marocaine de Distribution de Carburants SA » and the company « Ola Energy Maroc SAS » and the company « Winxo SA ».
« Société Afriquia Marocaine de Distribution de Carburants SA » is a Moroccan joint-stock company, registered with the Casablanca Trade Register under No. 26713 and headquartered at rue Ibnou El ouannane, Ain Sebaa, Casablanca.
« Ola Energy Maroc SAS » is a simplified Moroccan joint-stock company, registered with the Casablanca Trade Register under No. 179, with its headquarters at Zenith Millenium, Building 7, Sidi Maârouf, Casablanca.
« Winxo SA » is a Moroccan joint-stock company, registered with the Casablanca Trade Register under No. 27243, with its headquarters at Winxo Building, Boulevard Abdellatif Ben Kaddour, Casablanca.
The three founding companies are active in the market for the distribution of hydrocarbons and other petroleum products in Morocco.
« Morocco Aviation Fuel Services S.A. » will be established as a Moroccan joint-stock company. Its sole purpose will be to operate and manage the facilities and infrastructure necessary for the activities of aviation fuel storage and aircraft refueling at airports in northern Morocco, namely Casablanca, Tit Mellil, Benslimane, Rabat, Fès, Tanger, Oujda, Nador, Al-Hoceima, Tétouan, Béni Mellal, Ifrane, and Taza, within the framework of a concession granted by the National Airports Office (ONDA) to the consortium, following open tender No. 24/2024/CC. This tender is part of the entry into force of Law No. 40-13 on the civil aviation code.
