NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES
The Competition Council has received notification of an economic concentration operation concerning the exclusive takeover by the company ‘Capgemini SE’ of the companies ‘Cloud4C Services Pte. Ltd.’ and ‘Cloud4C Services Private Limited’ through the acquisition of 100% of the share capital and voting rights of the targets.
‘Capgemini SE’ is a European company (societas europaea) operating globally in consulting, engineering, and IT services, headquartered in Paris, France, and active in the fields of strategy and transformation, applications and technology, engineering, and operations.
‘Cloud4C Services Pte. Ltd.’ is a limited liability company under Singapore law, and ‘Cloud4C Services Private Limited’ is a limited liability company under Indian law. In Morocco, the targets operate through the company ‘Cloud4C Services SARL’, a Moroccan single-member limited liability company.
Both targets are active in providing managed hybrid cloud services (such as cloud migration, hosting, disaster recovery, and cybersecurity).
