Press release from the Competition Council regarding the economic concentration project concerning the exclusive takeover by the company “Dislog Group SA” of the company “Afrobiomedic SARLAU”, through the company “Dislog Medical Devices SA”

In accordance with Article 13 of Law No. 104-12 on freedom of prices and competition and Article 10 of Decree No. 2-14-652 issued for its implementation, as amended and supplemented, the Competition Council makes available to the public the “operation summary” below, containing the information provided by the parties.

This information has been prepared by the notifying parties, who are solely responsible for it. Any inaccurate or distorted information contained therein does not in any way prejudge the Competition Council’s position on the proposed operation.

The publication of this press release does not attest to the completeness of the file provided for in Article 9 of Decree No. 2-14-652 issued for the implementation of Law No. 104-12 on freedom of prices and competition as amended and supplemented.

NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council has received notification of an economic concentration project concerning the exclusive takeover by the company “Dislog Group SA” through its subsidiary “Dislog Medical Devices SA” wholly owned, of the company “Afrobiomedic SARLAU” through the acquisition of 70% of its share capital and related voting rights.

“Dislog Medical Devices SA” is a Moroccan joint stock company, registered with the Casablanca Trade Register under number 670155, 100% owned by “Dislog Group SA”. Its head office is located in the Ouled Saleh industrial zone, Bouskoura-Casablanca.

“Dislog Group SA” is a Moroccan joint stock company, with its head office in the Ouled Saleh Bouskoura industrial zone, Casablanca, registered with the Casablanca Trade Register under number 403199, active in the distribution, industrial, pharmaceutical, and parapharmaceutical sectors.

“Afrobiomedic SARLAU” is a Moroccan single-member limited liability company with its head office at 109 Route Bouskoura Drabna Complexe Green Works Imm B T4 Bureau 26 Ain Chock 20153, Casablanca, registered with the Casablanca Trade Register under number 294473, specializing in the supply of medical devices.
