Press release from the Competition Council regarding the economic concentration project concerning the exclusive takeover by the company “Dislog Group SA” of the company “Groupe Venezia SA”, through the acquisition of 100% of its share capital and related voting rights

In accordance with Article 13 of Law No. 104-12 on freedom of prices and competition as amended and supplemented, and Article 10 of Decree No. 2-14-652 issued for its implementation, as amended and supplemented, the Competition Council makes available to the public the “summary of the operation” below, containing the information provided by the parties.

NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council has received notification of an economic concentration operation concerning the exclusive takeover by the company “Dislog Group SA” of the company “Groupe Venezia SA”, through the acquisition of 100% of its share capital and related voting rights.

“Dislog Group SA” is a Moroccan joint stock company, with its registered office at Zone Industrielle Ouled Saleh Bouskoura, Casablanca, registered in the Casablanca Trade Register under number 403199, active in the distribution, industrial, pharmaceutical, and parapharmaceutical sectors;

“GROUPE VENEZIA SA” is a Moroccan joint stock company, with a share capital of 80,199,500 MAD, with its registered office at 123, Rue Daoud Eddahiri 1^st floor Maarif, Casablanca, registered in the Casablanca Trade Register under number 300007. It operates in the industrial agri-food and catering sector.
